SPRF’s present institutional structure under the Executive Director in the oversight of the Board of Directors which constitute 3 women and 4 men. The Board takes overall responsibility for the Foundation, including responsibility for identifying key risk areas, considering and monitoring strategic decisions, considering significant financial matters, and reviewing the performance of management business plans and budgets.  The Board is also responsible for ensuring that a comprehensive system of internal control, policies and procedures is operative, and for compliance with sound corporate governance principles. The Board is required to meet at least three times a year
